Scope and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Lantide website and the Lantide Data desktop application (together, the "Services"). Lantide is the current team/project name that provides and operates the Services; Lantide Data is the name of the desktop data-analysis product. Lantide expects to incorporate a company in Singapore. Once incorporated, this page will be updated with the company's legal name, registration details, and registered address.

By downloading, installing, accessing, or using the Services, you acknowledge that you have read, understood, and agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to agree to these Terms on its behalf.

Services and License

Lantide Data is available as a free desktop application. Subject to your compliance with these Terms, Lantide grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Services.

Enterprise deployment, integration, support, or customization services may be provided under a separate written agreement. If that agreement conflicts with these Terms regarding those enterprise services, the separate agreement controls.

The Services may contain bugs, feature changes, compatibility issues, or interruptions. They are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Lantide disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, uninterrupted or error-free operation, and non-infringement. Lantide may modify, suspend, or discontinue the Services or any feature at any time.

Your Data and Responsibilities

You retain rights in the data, content, and analysis output that you load, process, or create. You are responsible for ensuring that you have the right to process that data through the Services and for complying with applicable laws, contractual obligations, and the rules of third-party data sources.

Please back up important data before use. Lantide Data workspaces, caches, settings, and logs may remain on your device; deleting the application may not automatically remove all local data.

AI Features, BYOK, and External Services

You may configure your own API keys, model endpoints, or local models to use AI features. Lantide does not provide, host, or resell model-provider API keys, and has no partnership or agency relationship with any model provider. You are responsible for reviewing and complying with the terms of service, privacy policies, usage fees, and data-processing conditions of the model or endpoint provider you choose.

When you use AI features, prompts, conversation content, data structure, field information, or other necessary context may be sent directly to the model endpoint you configure, depending on the feature and settings you select. AI output is assistive only. You should independently review the accuracy and suitability of any SQL, analysis, report, or recommendation before relying on it, executing it, or using it externally.

MCP and External Agents

Lantide Data may allow you to connect MCP sources and external AI Agents that you select or operate. You should carefully assess their permissions, instructions, data practices, and security. Lantide does not control the behavior, output, or effects of external services or Agents.

To the extent permitted by applicable law, you are responsible for actions performed by external Agents or MCP connections that you authorize, and should maintain appropriate backups and access controls.

Acceptable Use and Intellectual Property

You must not violate applicable law or the rights of others, distribute malware, circumvent security or access controls, access the Services or data without authorization, or otherwise interfere with the Services. Except where applicable law expressly permits it, you may not reverse engineer, decompile, or attempt to extract the source code of Lantide Data.

The Lantide and Lantide Data software, interface, documentation, trademarks, and other content not expressly licensed to you are protected by intellectual-property rights. These Terms do not transfer those rights. If you provide feedback, suggestions, or bug reports, Lantide may use them without charge to improve the Services and does not claim rights in your confidential information.

Limitation of Liability

To the maximum extent permitted by applicable law, Lantide will not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of or inability to use the Services, including data loss, lost profits, or business interruption.

To the maximum extent permitted by applicable law, Lantide's total liability arising from these Terms or the Services is limited to the amount you actually paid Lantide for the Services in the twelve months before the claim. Because the desktop application is currently free, that amount will generally be zero. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so these limitations may not fully apply to you.

Termination, Governing Law, and Contact

You may stop using the Services at any time. Lantide may suspend or terminate your access where reasonably necessary. Provisions that by their nature should survive termination will continue to apply.

These Terms are governed by the laws of Singapore. The parties will first seek to resolve any dispute in good faith; to the extent permitted by applicable law, disputes are subject to the exclusive jurisdiction of the courts of Singapore.
